Hafnia Limited: Outcome of Scheme Meeting on Redomiciliation to Singapore

Hafnia Limited (“Hafnia” or the “Company”, OSE ticker code: “HAFNI”, NYSE ticker code: “HAFN”) refers to the stock exchange announcement made on 19 August 2024 regarding the notice of a court-sanctioned shareholder meeting (the “Scheme Meeting”). At this meeting, eligible shareholders voted on a scheme of arrangement (the “Scheme”) in accordance with Section 99 of the Bermuda Companies Act 1981. The Scheme aims to discontinue the Company’s registration in Bermuda and continue in Singapore, adopting a new constitution upon completion (the “Redomiciliation”).

The Scheme Meeting was held on 11 September 2024, where shareholders approved the proposed Scheme.

A subsequent court hearing is scheduled for 19 September 2024 at 11:00 a.m. (Bermuda time), where Hafnia will petition the Supreme Court of Bermuda (the “Court”) to sanction the Scheme (the “Sanction Hearing”). If the Court sanctions the Scheme, it will become binding on the Company and its shareholders once the court order is filed with the Bermuda Registrar of Companies.

Shareholders are entitled to attend the Sanction Hearing, and those wishing to appear are encouraged to follow the procedures outlined on page 16 of the Explanatory Statement related to the Scheme, published on BusinessWire and Newsweb on 19 August 2024.

Subject to Court approval, the filing of the court order, final approval from Singapore’s Accounting and Corporate Regulatory Authority, and the satisfaction or waiver of all Scheme conditions, the Redomiciliation is expected to take effect on or around 1 October 2024.
